1. About VuSpaces

VuSpaces is a UK-based service that helps venues create, host and publish 360° experiences of event and venue spaces. VuSpaces also operates a Photographer Network through which assignments may be offered to independent photographers.

2. Using the service

You must provide accurate information when creating an account, requesting a space, applying as a photographer or otherwise using VuSpaces. You are responsible for keeping login details secure and for activity through your account.

You must not misuse the service, attempt unauthorised access, interfere with its operation, upload malicious material, infringe another person's rights or use VuSpaces unlawfully.

3. Venue clients and 360° experiences

Venue clients are responsible for having authority to request photography of the premises and to provide any text, images, branding or other material supplied to VuSpaces.

VuSpaces may prepare, host, display and distribute 360° experiences and related venue information as necessary to provide the service, including through VuSpaces pages, embedded viewers, links, feeds or authorised distribution to third-party websites or services.

4. Subscriptions, prices and payment

Where a paid subscription applies, the price and billing basis will be shown or agreed before activation. Unless otherwise stated, recurring subscriptions continue for successive billing periods until cancelled under the applicable subscription arrangements.

Payments may be processed by Stripe or another payment provider. You authorise applicable recurring charges when starting a recurring subscription.

We may change prices for future billing periods by giving reasonable notice where required.

5. Cancellation

You may request cancellation through available account controls or by contacting us. Cancellation normally stops future renewal; hosting may continue until the end of a period already paid for unless we tell you otherwise.

If you contract with VuSpaces as a consumer rather than for business purposes, statutory consumer and cancellation rights may apply in addition to these terms. Nothing here removes rights that cannot legally be excluded.

6. Photographer Network

Photographers operate independently unless a separate written agreement expressly says otherwise. Approval or active status does not guarantee a minimum number or value of assignments.

An assignment may specify the venue, space, date, fee, number of spaces and instructions. A photographer is not expected to undertake an offered assignment until it has been accepted and then scheduled or confirmed through the VuSpaces workflow.

Photographers are responsible for attending agreed shoots, using suitable equipment, following reasonable instructions, maintaining any insurance or permissions required for their work, and uploading requested original 360° imagery in the required format and quality.

Fees and payment arrangements are those agreed for each assignment. Where a venue pays a photographer directly, VuSpaces is not the payer merely because the assignment was introduced or managed through the platform.

7. Photography and intellectual property

Unless separately agreed, creators retain copyright they legally hold in original material they create.

By uploading or supplying photography or other content for a VuSpaces assignment, you grant VuSpaces a non-exclusive, worldwide licence to process, adapt, host, reproduce, display and distribute it for creating, operating, promoting and distributing the relevant VuSpaces venue experience.

You must not provide material you do not have the right to provide or license. VuSpaces branding, website software, viewer implementation, layouts and other material created by VuSpaces remain the property of VuSpaces or its licensors.

8. Availability and changes

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, hosting failures, internet problems and third-party services may affect availability.

We may update or replace features where reasonably necessary to maintain, secure or develop the service.

9. Suspension and termination

We may restrict or suspend an account or content where reasonably necessary for security, non-payment, suspected misuse, legal compliance, infringement of rights or serious breach of these terms. Where appropriate, we will try to give reasonable notice.

10. Liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to rights and liabilities that cannot legally be excluded, VuSpaces is not responsible for indirect or consequential losses, loss of profit, loss of opportunity or losses caused by matters outside our reasonable control.

For business users, our total liability arising from a paid VuSpaces service will, to the extent permitted by law, be limited to fees paid to VuSpaces for that service during the 12 months preceding the event giving rise to the claim.

11. Third-party services

VuSpaces may rely on or link to third-party services such as payment processors, hosting providers or mapping services. Those services may have their own terms and privacy policies.

12. Changes to these terms

We may update these terms as VuSpaces develops. Material changes affecting an existing paid service will be communicated where reasonably necessary. The current version will be published here.

13. Governing law

These terms are governed by the laws of England and Wales. For business users, the courts of England and Wales will have jurisdiction. Consumers may also have rights to bring proceedings in courts applicable to where they live.
